Note: These General Terms and Conditions of Sale apply to all business transactions with Ruvon International Private Limited. By placing an order, the Buyer acknowledges and accepts these terms.
1. Definitions & Scope
In these conditions, "The Company" or "Seller" refers to Ruvon International Private Limited, and "The Buyer" refers to the individual, firm, or company placing an order. "Goods" refers to the chemical products, raw materials, or services supplied by the Company. These terms supersede any terms stipulated by the Buyer in any Purchase Order (PO) unless explicitly agreed to in writing by a Director of Ruvon International.
2. Quotations, Orders & Validity
- Validity: Due to the volatile nature of global chemical markets, all quotations issued by Ruvon International are valid for a maximum of 24 hours unless otherwise specified in writing.
- Order Acceptance: A Purchase Order (PO) from the Buyer is only binding once formally acknowledged by the Seller via a Proforma Invoice (PI) or Sales Confirmation.
- Stock Availability: All offers are subject to "Force Majeure" and "Subject to Unsold" clauses. The Company reserves the right to withdraw an offer if the stock is liquidated prior to receipt of the confirmed PO and Advance Payment.
3. Pricing, Taxes & Duties
- Price Basis: Unless stated as "Delivered" or "CIF", all prices are Ex-Works (Ex-Godown/Factory) Vadodara or designated port.
- GST & Levies: Prices are exclusive of Goods and Service Tax (GST). GST @ 18% (or prevailing rate) will be charged extra.
- TCS (Tax Collected at Source): For sales exceeding ₹50 Lakhs in a financial year, TCS u/s 206C(1H) of the Income Tax Act will be charged extra at applicable rates.
- Duty Variations: In case of "High Seas Sales" or Import bookings, any change in Customs Duty, Anti-Dumping Duty (ADD), or Exchange Rate (USD/INR) between the date of booking and date of clearance shall be borne by the Buyer.
4. Payment Terms & Financial Liability
- Strict Adherence: Payment must be made strictly according to the terms mentioned in the Proforma Invoice (e.g., 100% Advance, LC at Sight, or Credit days).
- Interest on Delay: If the payment is not received by the due date, the Buyer is liable to pay interest @ 18% per annum (calculated daily) on the outstanding amount.
- Cheque Returns: In the event of a cheque bounce or dishonor of payment instrument, a penalty of ₹1,000 will be charged, and legal action under Section 138 of the Negotiable Instruments Act may be initiated immediately.
5. Delivery, Logistics & Demurrage
- Delivery Timeline: While we strive to meet delivery schedules, all dates quoted are estimates. Ruvon International is not liable for production stoppages or losses caused by transit delays.
- Risk Transfer: For Ex-Works shipments, the risk transfers to the Buyer as soon as the material is loaded onto the truck/tanker. Transit Insurance is the Buyer's responsibility unless CIF terms are agreed.
- Detention & Demurrage: For direct import containers, the Buyer is responsible for offloading and returning empty containers within the "Free Days" period. Any detention or demurrage charges charged by the Shipping Line due to delay by the Buyer will be billed to the Buyer.
- Shortage Claims: Any claim regarding shortage or damage must be recorded on the Lorry Receipt (LR) upon delivery and notified to us within 24 hours.
6. Quality Assurance & Rejections
- COA is Final: We provide a Manufacturer’s Certificate of Analysis (COA) with supplies. The specifications mentioned in the COA shall be considered final.
- Inspection: The Buyer is advised to inspect a sample before bulk processing.
- Liability Limitation: Our liability is strictly limited to the value of the Goods supplied. We are not liable for any consequential losses, collateral damage, or failure of the Buyer’s end-product.
- Rejection Protocol: In case of a valid quality dispute (verified by an independent lab), the material must be returned in its original, sealed packing. Open or processed material cannot be returned.
7. Safety & Handling (MSDS)
The Buyer acknowledges that chemicals may be hazardous. It is the Buyer’s responsibility to handle, store, and process the goods in accordance with the Material Safety Data Sheet (MSDS). Ruvon International assumes no liability for accidents or environmental damage caused by improper handling at the Buyer’s premises.
8. Force Majeure
Ruvon International shall not be liable for non-performance or delays caused by circumstances beyond reasonable control, including but not limited to: Acts of God, War, Riots, Pandemics, Government Bans, Import Restrictions, Port Congestion, Fire, or Flood.
9. Governing Law & Jurisdiction
All contracts and business dealings shall be governed by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat, India.
